LOGO USAGE AGREEMENT

This license agreement is hereby implemented with or without signature between NORMI (National Organization of Remediators and Mold Inspectors), Inc., herein designated as OWNER, and the USER of the Logo, herein designated as USER, in accordance with the terms and conditions herein described. This approval to use the Logo may be terminated without cause by either party following thirty (30) day written notification, to be delivered manually or electronically. Logos under this agreement include all logos that reference or include NORMI, No Mold, NORMIPro ETF, Best Living Systems, Best Training School, or Enviroscreening.

STATEMENT OF OWNERSHIP—NORMI, Inc., the National Organization of Remediators and Mold Inspectors, is the sole owner of several registered federal trademarks and common law trademarks and has the right to transfer ownership or designate an OWNER representative at its discretion. The OWNER grants that affiliates, business partners, and individual members in good standing may use the Logos in accordance with the following terms and conditions, and in accordance with the Logo Usage Guidelines, however, such use shall always be at the OWNER’s Discretion. Use of one or more of the Logos shall constitute consideration for, agreement to, and acceptance of the following terms and conditions of this license by the USER. With that understood, the Logos are the sole and exclusive intellectual property of OWNER. The Logos may be used only by OWNER members in good standing, or organizations with prior written approval of the OWNER, if and only if such use is made pursuant to the terms and conditions of this limited and revocable license. Any failure by a user to comply with the terms and conditions contained herein may result in the immediate revocation of this license, in addition to any other sanctions imposed by OWNER.

REVISIONS—The Logos may not be revised or altered in any way, and must be displayed in the same form as produced by the owner. Anything that appears to be a distortion of the Logo, or a misrepresentation in any fashion will be deemed a violation of this provision.

PROFESSIONAL USE—The Logos may be used in a professional manner on the USER’s web site(s), print media advertisements, storefront window(s), email signature or in any other comparable manner to signify the user's membership/relationship with the OWNER and meet the other provisions of this agreement. Logos may not be used on brochures, business card(s), letterhead or other printed materials without written permission. Members are encouraged to use OWNER provided literature to strengthen branding and avoid confusion. Logos may never be used independent of the following term(s) "NORMI Member", "NORMI Affiliate”, or other designation as may be provided by the OWNER, including, but not limited to, the inclusion of the member’s ID number. Logos may not be used in any manner that discredits the OWNER or tarnishes its reputation and goodwill; is false or misleading; violates the rights of others, any law, regulation, or other public policy; or mischaracterizes the relationship between OWNER and the USER, including but not limited to any use of the Logos that might be interpreted as an endorsement, approval, sponsorship, or certification by the OWNER of the USER, the USER’S business or organization, or the USER’S products or services, or that might be interpreted as support or encouragement to purchase or utilize the USER’S products or services.

RIGHTS WITHHELD—Use of the Logos shall create no rights for users in or to the Logos or their use beyond the terms and conditions of this limited and revocable license. The OWNER reserves the right to request samples of use of the Logos in order to determine compliance with these terms and conditions. Without further notice, the OWNER reserves the right to prohibit use of the Logos if it determines that a user's Logo usage, whether willful or negligent, is not in strict accordance with the terms and conditions of this license, otherwise could discredit the OWNER or tarnish its reputation and goodwill, or the USER is not an OWNER approved business affiliate, business partner, or individual member in good standing.

CONSENT WITHOUT SIGNATURE—The Use of any applicable Logo indicates your consent to the interpretation of this agreement by the OWNER as provided under Louisiana law, as well as your consent to jurisdiction and venue in the courts located in St Tammany Parish. All actions regarding the Logos shall be brought and maintained in the courts located in St Tammany Parish, Louisiana, and you hereby waive all objections to jurisdiction and venue therein. All provisions of this agreement shall be enforced under the direction of the NORMI Division of Compliance and Standards.
